1. Agreement to Terms
By accessing or using WaQtor ("Service", "Platform"), creating an account, or clicking "Create Account", you ("Customer", "Tenant", "you") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
WaQtor is a product owned and operated by DXBMark Ltd, a company registered in London, United Kingdom.
If you do not agree to these Terms, do not use the Service.
2. The Service
WaQtor is a Software-as-a-Service (SaaS) platform that enables businesses to manage and automate WhatsApp Business messaging through a multi-tenant cloud infrastructure. Features include contact management, campaign scheduling, real-time message queuing, AI-assisted message composition, webhook event processing, and team collaboration tools.
WaQtor is an independent software platform that integrates with third-party services, including the WhatsApp Business Platform and related APIs.
WaQtor is not affiliated with, endorsed by, or officially connected to Meta Platforms, Inc. or WhatsApp.
The Service is designed to operate in compliance with applicable regulations and third-party platform policies. Users are solely responsible for ensuring that their use of the Service complies with all applicable laws and third-party terms.
3. Account Registration and Security
3.1 Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By registering, you represent that you meet these requirements.
3.2 Account Creation
When you create an account, you are the "Owner" of your tenant workspace. You must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
3.3 Account Responsibilities
You must notify us immediately at support@waqtor.app if you suspect unauthorized access. You may not share your login credentials with third parties outside of the team-member seat mechanism provided by the Platform. You are responsible for all actions taken by team members you invite to your workspace.
3.4 One Account Per Tenant
Each subscription represents one tenant workspace. Automated account creation or multi-tenancy bypass attempts are prohibited.
4. Subscriptions and Billing
WaQtor offers self-serve paid plans (Starter and Pro Growth) with automated billing via Stripe. Payment is processed at the time of checkout and your plan is activated immediately upon successful payment. Invoices are generated automatically and sent to your registered email address.
Enterprise plan pricing and provisioning are handled directly by the WaQtor team. Contact sales@waqtor.app to discuss Enterprise terms.
All billing for self-serve plans is governed by the pricing displayed at checkout. By completing checkout, you authorize the charge to your provided payment method.
Refund Policy: All subscriptions are non-refundable except as expressly stated in this section.
Free Trial: Users are provided with a 14-day free trial period. No charges apply during this period, and no refunds are applicable.
Monthly Plans: Payments for monthly subscriptions are generally non-refundable. However, WaQtor may, at its sole discretion, review refund requests where objective criteria are met, including verified technical failure or service unavailability that materially impacted your ability to use the Service.
Definition: Material service failure refers to a verifiable system-wide outage or critical malfunction lasting more than 24 consecutive hours.
Annual Plans: Users subscribing to annual plans may be eligible for a prorated refund if cancellation is requested within 14 days of the initial purchase, provided that the Service has not been materially used.
Abuse Prevention: Refund requests may be denied in cases of excessive usage, policy violations, fraudulent activity, or attempts to exploit the Service.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use the Service only for lawful business messaging purposes, in compliance with Meta's WhatsApp Business API policies, applicable anti-spam laws (CAN-SPAM, CASL, GDPR), and all applicable local laws. You are solely responsible for obtaining and maintaining valid consent from your contacts before sending messages through the Service.
5.2 Prohibited Conduct
You must NOT: send unsolicited bulk messages (spam); transmit illegal, defamatory, or discriminatory content; violate intellectual property rights; distribute malware or phishing links; impersonate any person or entity; scrape data by automated means without written consent; reverse engineer the Platform; circumvent usage limits or quotas; resell or sublicense Platform access; or interfere with Service integrity or performance.
5.3 WhatsApp Disclaimer
WaQtor is an independent software platform that integrates with third-party services, including the WhatsApp Business Platform and related APIs. WaQtor is not affiliated with, endorsed by, or officially connected to Meta Platforms, Inc. or WhatsApp. Users are solely responsible for ensuring that their use of the Service complies with all applicable laws and third-party terms, including WhatsApp policies.
5.4 Enforcement
We reserve the right to suspend or terminate accounts that violate this policy, immediately if necessary to protect the platform or other users.
5.5 WhatsApp Ban Liability
WaQtor does not guarantee the continued availability or status of any third-party accounts, including WhatsApp accounts. Users acknowledge that their use of the Service may be subject to third-party policies and enforcement actions. WaQtor shall not be liable for any suspension, restriction, or termination imposed by third-party platforms, including WhatsApp.
5.6 Service Abuse Protection
WaQtor reserves the right to monitor usage patterns and suspend accounts that exhibit abnormal, excessive, malicious, or potentially harmful activity.
6. File Uploads and Media
6.1 File Size Limits
The maximum file size for any single attachment (image or document) is 2 MB. Profile avatars are also subject to a 2 MB limit.
6.2 Supported File Types
Accepted file types: JPEG, PNG, WebP, and PDF. Other file types are rejected at the upload stage.
6.3 One Attachment Per Message
Only one media file may be attached per individual message or campaign broadcast. This is a platform-level limit aligned with WhatsApp Business API constraints.
6.4 Storage Quotas
Trial 200 MB, Starter 500 MB, Pro Growth 1 GB, Enterprise 2 GB. When your quota is reached, new uploads will be rejected. Contact billing@waqtor.app to request additional storage.
6.5 Media Retention
Media assets expire based on your plan's media retention period (Trial: 7 days, Starter: 30 days, Pro Growth: 90 days, Enterprise: 180 days), unless linked to an active campaign. Expired assets are permanently deleted and cannot be recovered.
7. Data, Privacy, and Messages History
7.1 Your Data
You retain all rights to the data you upload or generate through the Service ("Customer Data"), including contact lists, message content, media files, and messages history.
7.2 Data Processing
By using the Service, you authorize WaQtor to process Customer Data solely to provide and improve the Service. We act as a data processor under GDPR where you are the data controller. The Data Processing Agreement (DPA), available at https://waqtor.app/en/legal/dpa, forms part of these Terms where applicable.
7.2A Data Processing Agreement (DPA)
This Data Processing Agreement ("DPA") forms an integral part of the Terms of Service. By using WaQtor services, the Customer acknowledges and agrees that: (1) WaQtor acts as a Data Processor and the Customer acts as a Data Controller. (2) The processing of Personal Data shall be governed by the WaQtor Data Processing Agreement (DPA), which is incorporated by reference into these Terms. (3) The DPA is legally binding and applies automatically to all Customers using the platform, without requiring a separate signature. (4) In the event of any conflict between this DPA and other Terms, the provisions of the DPA shall prevail with respect to data protection matters. (5) The current version of the DPA (v1.0) is available at: https://waqtor.app/legal/dpa. By continuing to use the Service, the Customer confirms acceptance of this DPA.
7.3 Data Security & End-to-End Encryption
All data transmitted through the WaQtor platform is protected using end-to-end encryption. We implement additional industry-standard measures including TLS 1.2+ for data in transit, AES-256 encryption at rest, tenant-level database isolation (Row-Level Security), and role-based access control (RBAC). Regular security audits are conducted.
7.4 Messages History — What We Store and Why
WaQtor stores outbound marketing campaign messages sent by you to your contacts ('Messages History') solely to give you an interface to review your sent communications and verify message delivery receipts. WaQtor does NOT access, read, inspect, or analyse the content of these messages. WaQtor staff cannot view your Messages History under any normal operational circumstance. Messages History does not include incoming replies from your contacts' WhatsApp accounts — those are processed in real-time for delivery only and are not retained by WaQtor.
7.5 Incoming Messages & WhatsApp Instances
WaQtor does not inspect, monitor, or store incoming chat messages from your contacts' WhatsApp accounts. WaQtor does not access or review any data related to your connected WhatsApp Instances (phone numbers, sessions, or device data) beyond what is strictly required to establish and maintain the WhatsApp Business API connection. All WhatsApp Instance connection data is encrypted and isolated per tenant.
7.6 AI Features and Message Privacy
WaQtor's AI-assisted composition features operate on content that you actively type or provide in the message editor. The AI assistant does NOT read, scan, or process your existing Messages History, incoming messages from contacts, or any WhatsApp Instance data. AI suggestions are generated based solely on your real-time input and require your explicit review and approval before any message is sent. WaQtor does not use customer data, message content, or any user-generated information to train or improve artificial intelligence models. AI-powered features operate through third-party providers under strict data protection controls. Inputs are processed solely for real-time functionality and are not stored or reused beyond the scope of the requested operation. All AI interactions are governed by system-level safeguards designed to ensure compliance with data protection standards and prevent unauthorized data usage.
7.7 Subprocessors
Key subprocessors: Stripe (payment processing), Cloudflare (CDN and DDoS protection), Evolution API (WhatsApp connectivity).
7.8 Data Portability and Deletion
You may request export of your Customer Data or deletion of your account by contacting info@waqtor.app. Requests will be processed within 30 days.
7.9 Retention after Termination
Upon account termination, Customer Data is retained for 30 days to allow for recovery requests, then permanently deleted.
7.10 Beta and Experimental Features
Certain features may be marked as beta or experimental. These features are provided without guarantees and may be modified, limited, or discontinued at any time.
8. Intellectual Property
8.1 WaQtor IP
The Platform, including its software, design, trademarks, and documentation, is the exclusive property of WaQtor and its parent company DXBMark Ltd., headquartered in London, United Kingdom. Nothing in these Terms grants you a license to WaQtor's or DXBMark Ltd.'s intellectual property or trademarks except the limited, revocable right to use the Service in accordance with these Terms.
8.2 Your IP
You retain all intellectual property rights in Customer Data. By uploading content, you grant WaQtor a limited, non-exclusive, royalty-free license to process and store that content solely to provide the Service.
8.3 Feedback
Any feedback or suggestions you submit may be used by WaQtor without restriction or compensation.
9. Uptime, SLA, and Support
9.1 Availability Target
We target 99.5% monthly uptime excluding scheduled maintenance. Scheduled maintenance is communicated at least 24 hours in advance. Uptime targets are goals only and do not constitute a guarantee or entitlement to service credits.
9.2 Support
Support is provided via email at support@waqtor.app. Response times depend on your plan tier.
9.3 No Liability for Downtime
We are not liable for damages resulting from service downtime, including missed messages or failed campaigns, except to the extent specified in Section 11.
9.4 No Guarantee of Delivery
WaQtor does not guarantee message delivery rates, timing, or performance, as these depend on third-party systems, platform policies, and network conditions outside WaQtor's reasonable control.
9.5 API and Third-Party Dependency
The Service depends on third-party APIs and infrastructure. Changes, limitations, outages, or disruptions in such services may affect functionality, and WaQtor shall not be liable for such third-party changes or interruptions.
9.6 Cost Protection
WaQtor reserves the right to limit, throttle, or suspend usage that results in excessive infrastructure or third-party costs, without prior notice. Such action does not constitute a breach of these Terms.
10. Confidentiality
Each party agrees to hold the other's confidential information in strict confidence, use it only for the purposes of this Agreement, and not disclose it to third parties without prior written consent. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
11. Limitation of Liability
Important Legal Notice
TO THE MAXIMUM EXTENT PERMITTED BY LAW: WaQtor SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. WaQtor's TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WaQtor IS NOT LIABLE FOR LOSS OF DATA, LOSS OF BUSINESS, LOSS OF PROFITS, OR INTERRUPTION OF SERVICE. This limitation shall not apply to liability arising from gross negligence, willful misconduct, or where such limitation is not permitted by law.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
13. Indemnification
You agree to indemnify and hold harmless WaQtor from any claims, damages, losses, regulatory fines and penalties, and legal costs arising from: (a) your violation of applicable laws or regulations, (b) your breach of third-party platform policies (including WhatsApp), (c) unauthorized messaging, spam, or misuse of the Service.
14. Term and Termination
14.1 Termination by You
Cancel at any time from Account Settings. Takes effect at end of current billing period.
14.2 Termination by WaQtor
We may terminate or suspend access immediately for violation of Terms, fraudulent activity, non-payment after grace period, legal requirement, or where immediate action is required to prevent harm, abuse, legal risk, or system instability.
14.3 Effect of Termination
Access ceases immediately. Customer Data retained 30 days then deleted. Accrued payment obligations remain due.
15. Modifications to Terms
We will provide at least 30 days' notice of material changes by email and by posting a notice on the Platform. Continued use after the effective date constitutes acceptance.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising out of or in connection with these Terms shall be resolved by binding arbitration in London, United Kingdom, unless otherwise required by applicable law.
Nothing in these Terms shall limit any mandatory rights available to users under applicable consumer protection laws in their country of residence.
17. General Provisions
Entire Agreement: These Terms, Privacy Policy, and Cookie Policy constitute the entire agreement between you and WaQtor.
Force Majeure: WaQtor shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, internet service disruptions, or failures of third-party infrastructure providers. In such cases, WaQtor's obligations shall be suspended for the duration of the event.
Severability, Waiver, and Assignment clauses apply as standard.
18. Data Retention, Storage Quotas, and Automatic Deletion
18.1 Retention periods
Message history, media files, and audit logs are subject to automatic permanent deletion per the schedule in our Privacy Policy. You are solely responsible for exporting any data you wish to retain beyond these periods. WaQtor cannot restore permanently deleted data.
18.2 Data Backup Responsibility
You are solely responsible for maintaining backups of your data. WaQtor does not guarantee data recovery once deletion has occurred.
18.3 Message history floor
Message content will not be deleted before 30 days from creation, regardless of plan configuration.
18.4 Audit log floor
Security audit logs will not be deleted before 90 days. This minimum is enforced at the system level and cannot be overridden.
18.5 Annual billing disputes
Audit logs are retained for 365 days specifically to cover the full annual billing cycle.
18.6 Storage quotas
Each account is allocated a storage quota (200 MB to 2 GB). Uploads are blocked once your quota is reached. Quota resets do not occur automatically — delete unused media assets to free space. WaQtor is not liable for service interruptions caused by exceeding your quota.
18.7 Media and active campaigns
Media files attached to active or scheduled campaigns will not be automatically deleted while the campaign is running. Deletion resumes once the campaign completes, is cancelled, or the media is removed from the template.
18.8 Retention configuration
Retention settings are controlled exclusively by the platform administrator (Super Admin) and are set per subscription plan. Individual account users cannot modify their retention period.
